[GNC Holdings Inc.] is reminding stockholders to vote in advance of its meeting that was delayed until May 9 to determine whether the firm will issue convertible preferred shares to Harbin Pharmaceutical Group Co. Ltd. in connection with the Chinese firm's offer of a $300m investment. The Pittsburgh-based manufacturer and retailer on May 2 said shareholders who have not voted probably do not have sufficient time to vote by mail before the deadline of 11:59 pm EST May 8. GNC suggests those shareholders vote online at a website that provides a platform for proxy votes or by phone. As it stated with its recent first-quarter results, it said more than 92% of the proxies received by the originally scheduled date for the special meeting, April 25, authorized a vote in favor of the proposal. However, those proxies were from owners of 36% of its shares, short of the necessary quorum of a majority of shares. Approval of the share issuance proposal requires the affirmative vote of a majority of shares present, either in person at the meeting in Pittsburgh or by proxy (Also see "GNC Digital Sales Hot But Shareholders Slow To Warm To China Expansion Deal" - HBW Insight, 27 April, 2018.)
